Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and BinSync Management Systems ("BinSync", "we", "us") governing your access to and use of the BinSync smart waste management platform — including the web management dashboard, the driver mobile application, the citizen mobile application, and the binsync.eco website (together, the "Service").

By creating an account, subscribing, or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

The Service synchronizes waste collection operations for municipal and commercial organizations across three surfaces:

• Web management dashboard — for dispatchers and supervisors to plan routes, manage trucks and drivers, publish schedules, monitor trips, and review reporting.
• Driver mobile app — for drivers to view assigned routes, check in at stops, report issues, and submit trip completion evidence.
• Citizen mobile app — for residents to view collection schedules, track trucks, submit service requests, and access resident services.

We may add, change, or retire features from time to time. We will use reasonable efforts to notify you of material changes, but the Service is provided on a continuous improvement basis.

The Service is organized into workspaces ("tenants") operated by organizations. Organizational administrators control access, roles, and data within their workspace. Individual users (dispatchers, supervisors, drivers) may be provisioned by their organization or invited to join.

You are responsible for keeping your credentials confidential and for all activity that occurs under your account. You must notify us promptly of any unauthorized use or security incident involving your account.

You agree not to misuse the Service. Prohibited conduct includes:

• Using the Service for any unlawful purpose or to violate applicable laws or regulations.
• Knowingly entering false trip, check-in, completion, or service request data.
• Interfering with or disrupting the Service, its infrastructure, or other users' accounts.
• Attempting to access areas of the Service you are not authorized to access.
• Reselling or sublicensing the Service except as permitted by your subscription.
• Using driver or citizen location data for purposes other than operating the Service.

Access to paid features requires a subscription purchased through the Service. Payments are processed by our payment partner, HitPay, under its own terms and privacy practices. We do not store full payment card details on our servers.

• Subscription fees and billing cycles are described at the point of purchase and in your workspace.
• Subscriptions renew automatically unless cancelled before the renewal date.
• If payment is not received, we may suspend or terminate access to paid features after notice.
• Refunds are considered in accordance with applicable consumer law and the terms shown at checkout.

If your organization administers your account, your organization is responsible for payment and may control access to your account.

You retain ownership of the operational data, records, photos, and other content you or your organization enters into the Service ("User Content"). You grant BinSync a limited license to process User Content to provide, secure, and improve the Service and to comply with legal obligations.

The organization that manages a tenant workspace is responsible for the content it controls and for obtaining any required consents, including from residents whose data may be processed through the Service.

The Service, including its software, design, branding, and documentation, is owned by BinSync and its licensors and is protected by intellectual property laws. Except as expressly granted in these Terms, no license to any BinSync intellectual property is implied. You may not copy, modify, reverse engineer, or create derivative works of the Service.

The Service integrates with third-party services such as payment processing (HitPay), mapping, and hosting infrastructure. These services operate under their own terms and privacy policies. BinSync is not responsible for the availability or conduct of third-party services, except as required by law.

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. BinSync does not warrant that the Service will be uninterrupted, error-free, or that operational outcomes will meet your expectations.

To the maximum extent permitted by law, BinSync shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for all claims relating to the Service shall not exceed the amounts you paid to BinSync in the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless BinSync, its officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your breach of these Terms, except to the extent caused by BinSync's own fault.

You may stop using the Service at any time and may cancel your subscription as described in your workspace. We may suspend or terminate your access if you violate these Terms or if required by law, with notice where practicable. On termination, your access to the Service ends and we will handle your data in accordance with our Privacy Policy and applicable law.

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date and, where appropriate, notified through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms, where permitted by law.

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiations, and any unresolved disputes shall be submitted to the exclusive jurisdiction of the courts of the Philippines.
